# Memorandum of Understanding: This is a Memorandum of Understanding (“MOU”), between Regenerating Sonora Inc, Rebuild Superior Inc, Adelantes Juntos, Prickly Pear Festival host Pete Casillas, and Superior Dance Company, collectively referred to here as “The Group”.
# Background: Regenerating Sonora has established a relationship with Arizona Community Foundation, referred to here as “ACF” and is seeking to request funding on behalf of The Group. ACF has invited Regenerating Sonora to apply for a grant **focused on arts and culture**, therefore, funds awarded to each organization of The Group will be specifically allocated to that end. “Celebrating Our Place Together” is the theme used in the grant application that connects the work of each organization to a **unified initiative**, referred to here as “The Initiative.” The Group seeks to demonstrate good use of funds, collaboration, and transparency so that we may be eligible for greater funding opportunities in the future.
# Good Use of Funds: The grant we’re applying for requires a **shared set of articulated goals**. Good use of funds will contribute to our shared goals for The Initiative.
# The Group’s shared goals are: * Preserving and advancing the **culture** of Superior * Increase in **Viability of Each Organization** in The Group * Increase in the Number of Arts and Culture Events in Superior * Increase in Promotion of Arts and Culture Events in Superior * Increase in Participation at Arts and Culture Events in Superior * Increase in Collaboration Between Organizations in The Group
# Tracking, Reporting and Transparency: In order to **demonstrate our impact** (Results) with respect to our shared goals, each organization in The Group agrees to track quantitative and qualitative data. This may include: qualitative ways Superior’s culture is being preserved and advanced, qualitative ways an **organization** is increasing its **viability**, tracking the number of arts and culture events held, estimated number of attendees per event, social media engagement related to events, qualitative and quantitative data on collaboration. Each organization in The Group agrees to track Labor Hours paid by itemizing them on a spreadsheet that details: Name, Date, Hours Worked, Rate Per Hour, Description of Work. Unless otherwise arranged, each group will have their expenses managed by the **fiscal sponsor, TAPAZ**. To cut a check to your intended payee, ______to Chris Casillas with the name of the payee, amount, and expense classification. He will then direct TAPAZ to issue and send the check and to record the transaction appropriately.
# Collaboration: The Group agrees to **meet monthly** to share progress towards shared goals, report on use of funds, and request any necessary assistance. ACF requires a final report be produced after the **grant term** in order to reflect on our success against our shared goals. The Group will support the creation of this report through the **tracking of shared goals** and the creation of the **final narrative**.
# Funding Details: At the request of ACF, Regenerating Sonora Inc is applying for the grant in question on behalf of The Group. Regenerating Sonora will use its Fiscal Sponsor TAPAZ to act as a third party to receive grant funds. TAPAZ will distribute funds to each organization of The Group at the request of Regenerating Sonora. Regenerating Sonora will request the following amounts be distributed to each organization upon TAPAZ receiving funds from ACF. **TAPAZ charges a 7% fee** for the handling of funds, which amounts to $2,100 of the total $30,000 grant. The **next opportunity** for funding of this kind from ACF is after their fiscal year, **March 31st 2023**.

# Recognizing Our Sponsor: The Group agrees to recognize Arizona Community Foundation’s sponsorship via relevant Promotional Materials and announcements. This includes adding ACF Logo in a “Sponsored By” section in event flyers, verbally acknowledging their sponsorship at events, and other means contextually appropriate.
# Additional Considerations: Divergence from this agreement, lack of communication and reporting, poor management of funds, and other considerations may result in exclusion from future collaborations of this kind with ACF or other donors. For organizations that are receiving Funds on behalf of a subcommittee, the awarded **funds are to only be used at the approval of the subcommittee** itself, not for general funds or expenses not approved by the subcommittee.
